{"id":120,"date":"2019-11-21T15:20:49","date_gmt":"2019-11-21T15:20:49","guid":{"rendered":"https:\/\/miserve.com.cy\/?page_id=120"},"modified":"2019-11-21T15:21:19","modified_gmt":"2019-11-21T15:21:19","slug":"registration-of-ibc","status":"publish","type":"page","link":"https:\/\/miserve.com.cy\/?page_id=120","title":{"rendered":"Registration of IBC"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><strong>Cyprus International Business Companies (offshore) may have the following legal forms:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Limited company<\/li><li>Partnership<\/li><li>Branch<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The Cyprus Laws, governing the \naforementioned legal forms are identical to the Laws of the United \nKingdom. Most of the IBCs are limited companies and only a small \npercentage is in the form of branches or partnerships mainly because \ntheir legal status and financial liabilities are ultimately the same as \ntheir beneficial owners.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The procedure of registration is simple \nand quick and can be completed within a period of one to maximum three \nweeks as outlined below. However, \u201coff-the shelf\u201d companies are always \navailable. If it is considered necessary, the name of the company can be\n changed at a later date. In such cases, the time scale to incorporate a\n company will not be more than three days.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What should one do to register an international business company (offshore) in Cyprus<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Name of the company:<\/strong> A \ncompany name must be chosen and approved by the Registrar of Companies. \nThis procedure usually takes 2-4 days; Our firm has a list of approved \nnames to choose from, if you so wish and so to avoid this procedure and \nspeed up the registration of the company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Memorandum and Articles of Association:<\/strong>\n To register a limited company Memorandum and Articles of Association \nmust be prepared and filed at the Office of the Registrar of Companies; \nthe former specifies the activities in which the company may engage and \nthe latter specify the rules governing the internal management of the \ncompany.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Authorised and issued share capital:<\/strong>\n There is no minimum capital requirement by law but if the company is \ngoing to employ non-European including its director then there are \ncertain criteria to be met (see employing Non-Eu nationals).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Shareholders:<\/strong> The names\n of the shareholders (at least one) address and nationality must be \nsubmitted to the Registrar together with copy of passport. If anonymity \nis required, the shares may be held by one of the trustees companies \nprovided by our firm.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Directors of the company:<\/strong>\n The minimum number of directors is one. The full name, nationality, \nresidential address and occupation together with copy of the passport \nare required. Local directors are recommended.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Company secretary:<\/strong> A \nCyprus company must have a secretary by law who can be a legal or \nnatural entity, resident or non-resident. Our firm can provide you with a\n company secretary at a reasonable fee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Registered office:<\/strong> Every company is required to have a registered office and address in Cyprus which should be notified at the Registrar\u2019s Office.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Other important information concerning the operation of the I.B.C. (offshore enterprise)<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Offices in Cyprus:<\/strong> It \nis the company\u2019s decision whether or not to maintain offices in Cyprus. \nIn the case they decide not to establish an office in Cyprus, our firm \ncan provide full day-to-day running and operation support of the company\n including accounting, payroll and international trade
