It has a population of about \n250,000 and covers an area 8,867 square miles. For nearly 4,000 years, \nit formed the keystone of the empire of the ancient Maya who developed, \nwhat was for their time, the most advanced civilisation in the New \nWorld. English is the official language although Spanish is also widely \nspoken.<\/p>\n\n\n\n<p>A Belize IBC is an offshore company, \nwhich conducts its trading and business outside of Belize. Belize\u2019s \nlegislation also allows an IBC to carry on the following activities \nwithin Belize:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Make or maintain deposits with local banks in Belize;<\/li><li>Make or maintain professional contact with persons in Belize;<\/li><li>Prepare or maintain books and records within Belize;<\/li><li>Hold meetings of its directors or members within Belize;<\/li><li>Hold lease of property for use as an office in Belize;<\/li><li>Own a vessel (s) registered in Belize in accordance with the Registration of Merchant Ships Act, 1989;<\/li><li>Hold shares in another Belize IBC<\/li><\/ul>\n\n\n\n<p><strong>INCORPORATION OF AN IBC<\/strong><\/p>\n\n\n\n<p>Only licensed Registered Agents may \norganize IBC\u2019 s by subscribing to a Memorandum and Articles of \nAssociation in Belize. The usual procedure is for a nominee to act as \nincorporator. Our company, Omegaserve Secretarial Ltd offers the service\n of sole incorporator.<\/p>\n\n\n\n<p><strong>Incorporation with a Belize IBC<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>re-domiciliation into and out of Belize is permitted;<\/li><li>registration in any foreign language is permitted.<\/li><\/ul>\n\n\n\n<p>In addition, Belize\u2019s legislation \nfacilitates speedy and simple incorporation, and its modern and \ncomputerized IBC Registry is capable of incorporating a company within \none hour.<\/p>\n\n\n\n<p><strong>Advantages<\/strong><\/p>\n\n\n\n<p>Belize\u2019s modern and up to date offshore legislation provides for \nmaximum flexibility in global asset protection and tax and investment \nplanning. As a result, an investor can realize many competitive \nadvantages in areas such as:<\/p>\n\n\n\n<p><strong>Taxation<\/strong><br>\nA Belize IBC is exempt from:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>the payment of all forms of local taxation;<\/li><li>the payment of stamp duties for transactions in respect of its shares,<\/li><li>debt obligations or other securities;<\/li><li>the payment of stamp duties with respect to all instruments relating in any<\/li><li>way to its assets or activities.<\/li><\/ul>\n\n\n\n<p><strong>Exchange Control<\/strong><br>\nA Belize IBC is not subject to exchange control regulations.<\/p>\n\n\n\n<p><strong>Security and Confidentiality<\/strong><br>\nWith a Belize IBC \u2013 disclosure of the beneficial owner(s) is not \nrequired; \u2013 share register may be inspected only by a shareholder; \u2013 \nnominee shareholders and bearer shares are permitted; \u2013 assets are \nprotected from confiscation or expropriation orders or similar actions \nby foreign governments.<\/p>\n\n\n\n<p><strong>Registered Agent\/Registered office<\/strong><br>\nAn IBC must elect a Registered Agent and a Registered Office within the territory.<\/p>\n\n\n\n<p>Every IBC, by a resolution of directors,\n may amend its Memorandum to change the place of its Registered Office \nor to change its Registered Agent.<\/p>\n\n\n\n<p><strong>Board of Directors<\/strong><br>\nThe business and affairs of the company shall be managed by a Board of \nDirectors, that consists of one or more persons who may be individuals \nor companies. The name(s) of director(s) are not matter of the public \nrecord.<\/p>\n\n\n\n<p><strong>Powers of attorney<\/strong><br>\nAn IBC may grand general or special Powers-of-Attorney to any person, to\n act on its behalf and to execute contracts, agreements, deeds and other\n instruments. These powers are not recorded in the Public Registry.<\/p>\n\n\n\n<p><strong>Certificates of Good Standing<\/strong><br>\nGood Standing Certificates for an IBC, can be obtained upon application to the Registrar of Companies.<\/p>\n\n\n\n<p><strong>Register of Shares<\/strong><br>\nThere is no public record of shareholders. Every IBC is required to keep\n one or more Registers of shares and shareholders, and at least one copy\n thereof must be kept at the Registered Office of the company in Belize.\n In order to comply with the law, it is mandatory that the Registered \nAgent be informed of any changes in the Register of Shares.<\/p>\n\n\n\n<p><strong>Bearer Shares<\/strong><br>\nBearer shares are allowed in this jurisdiction. Nevertheless, in \naccordance with the Regulations of June 2001, which are in force since \nJuly 2001, the Registered Agent is required to maintain physical custody\n of all bearer shares certificates on behalf of the client.
