CORPORATIONS"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">The Republic of Panama has always played\n an important role in international commerce because of its geographic \nposition, from the time of the Spanish conquerors through the California\n Gold Rush of 1849 and then the construction of the Panama Canal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In addition to our privileged geographic\n position, there have been many other factors, which have greatly \ncontributed to the development of Panama as a corporate and financial \ncentre, such as well-trained bilingual manpower, the U.S. dollar as our \ncurrency, an excellent telecommunications system and political \nstability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Panama is a 100% Tax Heaven<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>No tax reporting requirements<\/li><li>No income tax<\/li><li>No capital gains tax<\/li><li>No interest income tax<\/li><li>No sales tax<\/li><li>No tax on issuance of shares.<\/li><li>No tax to shareholders<\/li><li>No stock sales or transfer tax<\/li><li>No capital stock tax<\/li><li>No property tax<\/li><li>No estate tax<\/li><li>No gift tax<\/li><li>No stamp tax<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">All of these factors, together with Law \nNo.32 of 1927 covering the organization and operation of Panamanian \ncorporations, have helped make Panama one of the most important \ncorporate centres in the world and have made Panamanian corporations \naccepted by bankers, investors and governments.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Advantages of Panama<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&nbsp;The advantages, which Panama offers as a\n tax heaven may substantially benefit persons and companies wishing to \nuse Panama based corporations for holding purposes or for directing \nbusiness activities in different parts of the world.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Among the many advantages of Panama, an interested party will find the following:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.<\/strong> Panama is a 100% Tax Heaven<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.<\/strong> The country is \nvirtually located at the crossroads of the world, with the best air and \nocean transportation, both for passengers and freight, as well as \nexcellent telephone, telefax, telex and cable communications with the \nrest of the world.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.<\/strong> There is a unique \nbanking system, which includes 160 banks with offices in Panama, among \nthem some of the largest and best known banks operating internationally,\n supported by strong bank secrecy laws.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.<\/strong> There are absolutely\n no exchange controls and there is complete freedom to transfer funds. \nNo registration with the authorities nor any permits are required for \nany transaction involving the receipt or transfer of funds.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.<\/strong> The monetary system of the country uses the international free U.S. Dollar as its medium exchange.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.<\/strong> There are no taxes on capital (stocks, bonds and other investments) held by Panama corporations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.<\/strong> The income tax law of Panama specifically exempts from its provisions the following:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Directing from an office established in Panama, operations which are completed, consummated or take effect abroad;<\/li><li>Invoicing, from an office established in Panama, the sale of \nmerchandise or products for a sum higher than that at which said \nproducts or merchandise had been invoiced to the office established in \nPanama, provided that said merchandise or products are handled \nexclusively abroad;<\/li><li>Income from International Maritime commerce of vessels registered under the Panama flag.<\/li><li>Corporate dividends or participations when said dividends or \nparticipations are derived from income not produced within the territory\n of the Republic of Panama, including the income derived from the \nactivities mentioned in points a and b above.<\/li><li>The interest earned for funds kept in time deposits or savings accounts.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.<\/strong> Panama has signed one tax treaty with Mexico.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>9.<\/strong> The Colon Free Zone offers unique opportunities for the duty free storage, repackaging and reshipment of goods of all sorts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>HOW TO INCORPORATE<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Usually, the client will simply email to\n us a request to organize a Panamanian corporation and will provide the \nname of the corporation, its main activities, the names and addresses of\n the Directors, the names of the Officers and the desired capital. Once \nthis information is received, it will take no more than five (5) working\n days to protocolize the Articles of Incorporation and register them in \nthe Public Registry.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Points of Interest<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>With respect to cost and several other points, which may be of interest to you, we are pleased to report as follows:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.<\/strong> Name reservation. \nAfter its availability has been verified, the name of a corporation may \nbe reserved in the Public Registry for a period not to exceed thirty \n(30) days, by filing a written petition before the Public Registry. \nAfter this period has expired the name reservation will lapse without \nthe need for a notation by the Registry in said respect.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.<\/strong> Neither the \nstockholders nor directors have to be nationals or residents of Panama. \nAs previously mentioned, there must be at least three Directors. We may \nprovide local directors and officers if required.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.<\/strong> There are no legal \nrequirements regarding a minimum of capital. According to law, there is \nno need to state that the capital subscribed has been paid in.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.<\/strong> As long as the corporation is not doing business in Panama, it does not incur in any tax liabilities.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.<\/strong> Regarding the appointment of the Registered Agent in Panama, which is required by law, the usual procedure is to appoint us.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.<\/strong> The corporation is \nnot deemed to have legal existence, with respect to third parties, until\n the date it is registered in Mercantile Registry. Therefore, business \nshould not be conducted under the corporate name prior to said date.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.<\/strong> The corporation may execute in favor of one or more individuals a broad Power of Attorney to operate the company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.<\/strong> Panamanian law allows 100% foreign ownership of an offshore Panamanian corporation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>PRIVATE INTEREST FOUNDATIONS<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In an effort to provide additional \nopportunities to the Offshore Community Law 25 of 1995 was created. Said\n Law contains the procedures and requirements for the creation of \nPrivate Interest Foundations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Private Interest Foundations may be used as tax and estate planning device with the following advantages:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.<\/strong> They provide a \nfiduciary structure for the orderly transfer and disposition of assets \nto beneficiaries upon the death of the Founder, keeping control of the \nassets during lifetime;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.<\/strong> They may be established to have effects from the date of their constitution or after the death of the Founder;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.<\/strong> According to Law 25 \nof 1995, inheritance laws that apply in the domicile of the Founder or \nthe Beneficiaries, shall not be effective against the Foundations assets\n nor may these laws affect the validity or performance of the \nFoundations objectives;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.<\/strong> Foundations are \nestablished to carry the specific goals set out in the Foundation \nCharter and may additionally undertake sporadic commercial activities, \nexercise rights pertaining to their holdings, own property, contract \nobligations and take part in administrative or judicial proceedings.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.<\/strong> A Private Interest \nFoundation should be established with a patrimony destined to fulfil its\n objectives, which shall be no less than US$10,000.00. Said patrimony \nmay be increased by additional contributions of the Founder or third \nparties;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.<\/strong> The assets of the \nFoundation become legally independent and do not form a part of the \nprivate estate of the Founder. Such assets are not sizeable and may not \nbe subject to any precautory action or measure, unless such action or \nmeasure pertains to obligations incurred or damages arising from the \nfulfilment of the Foundations objectives.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Notwithstanding the creditors of the \nFounder or of a third party shall have the right to contest the \ncontribution or transfer of assets to a foundation when such transfer \nconstitutes an act in fraud of the creditors. The rights and actions of \nsuch creditors shall lapse at the expiration of three (3) years, counted\n from the date of the contribution or transfer of the assets to the \nfoundation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.<\/strong> According to article\n 27 of Law 25 of 1995, Private Interest Foundations are except from \npayment of any taxes, contributions, duties, liens or assessments of any\n kind arising from the acts of constitution, amendment or extinction of \nthe same, as well as acts of transfer or encumbrance of the Foundations \nassets and the income arising thereof, when related to:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Assets localized abroad;<\/li><li>Money deposited by natural or juridical persons whose income does \nnot derive from a Panamanian source is not taxable in Panama for any \nreason;<\/li><li>Shares or securities of any kind issued by corporations which income\n is not derived from a Panama source, or which are not taxable for any \nreason, even when such shares or securities are deposited in the \nRepublic of Panama;<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The transfer of unmovable property, \ntitles, certificates of deposits, assets, funds, securities or shares \ncarried out by reason of the fulfilment of the objectives of the \nfoundation or the termination of the same, in favor of relatives within \nthe first degree of consanguinity or the spouse of the Founder shall \nalso be exempted from all taxes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Foundation Charter shall be executed\n by the Founder by means of a private document, in which case it should \nbe authenticated by a Notary Public, or by means of a public document \ndirectly before a Notary Public.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>In order for us to provide \nservices in the constitution and management of Private Interest \nFoundations, the following information will be necessary:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.<\/strong> Name desired for the\n Foundation to check on its availability. The word Foundation must be \nincluded in the name, for example: The Clear Water Foundation, John Doe \nFoundation for the Children, etc;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.<\/strong> Initial patrimony if other by the standard of U.S.$10,000.00;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3.<\/strong> Names and addresses \nof the members of the Foundation Council, which will be no&nbsp;less than \nthree (3) members (natural persons), unless a juridical person is \nappointed, in which case a minimum of one member is required. We may \nprovide nominees for these positions;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.<\/strong> Domicile of the Foundation, if other than Panama;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.<\/strong> Duration, if other than limited;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.<\/strong> Name of the protector if
